- Any copies of Content you download or print remain subject to the same license restrictions and intellectual property protections;
- You may not alter, modify, adapt, or create derivative works of the Content without HBSS’s prior written authorization;
- HBSS reserves the right to license the Content and Marks to third parties at its sole discretion.
Nothing in these Terms shall be construed as granting you any proprietary rights in the Site, the Content, or the Marks, and HBSS reserves all rights not expressly granted herein.
SITE MANAGEMENT
HBSS reserves the right, but not the obligation, to take any of the following actions, at any time and in its sole discretion, without notice:
- Monitor the Site for violations of these Website Terms and Conditions;
- Take appropriate legal action against any user who violates applicable laws or these Terms, including, without limitation, reporting such conduct to law enforcement authorities;

TERM AND TERMINATION
These Website Terms and Conditions remain in full force and effect while you access or use the Site. Your rights under these Terms shall automatically terminate upon the earlier of:
- Your discontinuation of use of the Site;
- Your failure to comply with any provision of these Terms; or
- Our decision to suspend or terminate your access.
WITHOUT LIMITING ANY OTHER PROVISION HEREIN, HBSS RESERVES THE RIGHT, IN ITS SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, TO DENY ACCESS TO AND USE OF THE SITE (INCLUDING BLOCKING CERTAIN IP ADDRESSES) TO ANY USER FOR ANY REASON OR NO REASON, INCLUDING FOR BREACH OF THESE TERMS OR OF ANY APPLICABLE LAW OR REGULATION.
HBSS may terminate or suspend your account or remove any content or information you have posted at any time, without prior notice. Upon termination, any rights or licenses granted to you under these Terms will immediately terminate, and you must cease all access and use of the Site. HBSS reserves the right to change, modify, suspend, discontinue, or remove any portion of the Site or Services at any time and for any reason, without prior notice. While we may update the Site content from time to time, we are under no obligation to do so.
We make no guarantees regarding the uninterrupted availability of the Site. You acknowledge that temporary interruptions may occur due to maintenance, system failures, or unforeseen issues, and you agree that HBSS shall not be liable for any loss, damage, or inconvenience caused by your inability to access or use the Site during any such downtime.
Nothing in these Terms shall be interpreted as obligating HBSS to maintain the Site or to provide updates, fixes, or support.

The Site may contain typographical errors, inaccuracies, or omissions, including in descriptions, pricing, availability, or other content. HBSS reserves the right to correct any such errors and to update or modify the content on the Site at any time, without notice.
Disclaimer of Warranties
THE SITE AND ALL CONTENT, SERVICES, AND FUNCTIONALITY PROVIDED THROUGH IT ARE OFFERED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HBSS CONNECT CORP. (“HBSS”) EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, SECURITY, NON-INFRINGEMENT, OR THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE. HBSS MAKES NO REPRESENTATION OR WARRANTY THAT THE SITE OR ANY CONTENT, MATERIALS, FILES, OR FEATURES MADE AVAILABLE THROUGH THE SITE WILL BE FREE FROM ERRORS, DEFECTS, VIRUSES, OR OTHER HARMFUL COMPONENTS, OR THAT DEFECTS WILL BE CORRECTED. YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SITE, INCLUDING ANY CONTENT, SERVICES, OR MATERIALS OBTAINED THEREFROM, IS AT YOUR SOLE RISK AND THAT YOU ASSUME FULL RESPONSIBILITY FOR ANY LOSS OR DAMAGE RESULTING FROM SUCH USE. SOME JURISDICTIONS MAY NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO THE ABOVE DISCLAIMERS MAY NOT APPLY TO YOU IN FULL.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, IN NO EVENT SHALL HBSS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:
- (A) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR ANY PART THEREOF;
- (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE;
- (C) ANY CONTENT OBTAINED FROM THE SITE;
- (D) ANY UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; OR
- (E) ANY OTHER MATTER RELATING TO THE SITE,
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT HBSS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, EVEN IF A REMEDY PROVIDED UNDER THESE TERMS IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. SOME STATES AND JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES, AND IN SUCH CASES, THE LIABILITY OF HBSS SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Release
To the extent permitted under applicable law, you hereby release and forever discharge HBSS and its affiliates, officers, directors, employees, agents, partners, and representatives from any and all claims, demands, liabilities, obligations, damages (actual or consequential), losses, costs, and expenses of every kind and nature, known or unknown, arising out of or in any way connected with your use of the Site, your interactions with other users, or any dispute you have with HBSS or any third party in connection with the Site.
If you are a resident of California, you expressly waive California Civil Code §1542, which provides:
“A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor.”
INDEMNIFICATION
You agree to defend, indemnify, and hold harmless HBSS Connect Corp. (“HBSS”), including its subsidiaries, affiliates, and all of its respective officers, directors, employees, agents, partners, contractors, and representatives (collectively, the “Indemnified Parties”), from and against any and all claims, demands, liabilities, losses, damages, costs, and expenses (including reasonable attorneys’ fees and legal costs) arising out of or relating to:
- Any content, data, or information you submit, transmit, upload, or otherwise provide through the Site or Services;
- Your use or misuse of the Site and/or Services;
- Your breach or alleged breach of these Website Terms and Conditions;
- Your breach of any representation or warranty made by you under these Terms;
- Your violation of the rights of any third party, including but not limited to intellectual property rights, privacy rights, or publicity rights; or
- Any intentional or negligent misconduct or harmful act committed by you against another user of the Site.
HBSS reserves the right, at your sole expense, to assume the exclusive defense and control of any matter subject to indemnification under this section, and you agree to fully cooperate, at your own expense, with HBSS in defending against any such claims. We will use reasonable efforts to provide you with prompt written notice of any such claim, demand, action, or proceeding upon becoming aware of it. You further agree to promptly reimburse HBSS upon demand for any costs or expenses incurred in connection with the defense of such matter, including any settlement payments or court-awarded damages or costs. If applicable law prohibits you from entering into the indemnification obligation set forth above, then, to the fullest extent permitted by law, you agree to assume all responsibility and liability for any claims, demands, actions, losses, liabilities, and expenses (including attorneys’ fees and costs) that would otherwise be subject to your indemnification.
USER DATA
HBSS may maintain certain data that you transmit to the Site for the purpose of managing the Site’s performance, as well as data related to your use of the Site and Services. While we implement regular, routine data backups, you acknowledge and agree that you are solely responsible for all data you transmit or that relates to any activity conducted under your account. ARBITRATION AND CLASS ACTION WAIVER
- Agreement to Arbitrate
To the fullest extent permitted by applicable law, you and HBSS Connect Corp. (“HBSS”) agree that any and all disputes, controversies, claims, or causes of action arising out of or relating in any way to your access to or use of the Site, Services, Content, or these Website Terms and Conditions—including, without limitation, their formation, enforceability, performance, interpretation, breach, termination, or validity (each, a “Dispute”)—shall be exclusively and finally resolved by binding arbitration, rather than in court, except as specifically provided below. This Arbitration Agreement is governed by the Federal Arbitration Act (9 U.S.C. §§ 1 et seq.) and shall survive termination of these Terms and your relationship with HBSS. - Arbitration Procedures
The arbitration shall be administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules and, as applicable, its Supplementary Procedures for Consumer-Related Disputes (collectively, the “AAA Rules”), which are incorporated herein by reference and available at www.adr.org. The arbitration will be conducted by a single arbitrator with substantial experience in commercial contract disputes, selected in accordance with the AAA Rules. Unless otherwise agreed by the parties, the arbitration shall be conducted in a mutually agreed-upon location or, if no agreement can be reached, in Delaware, or by video/telephone conference at the arbitrator’s discretion.
The arbitrator shall have exclusive authority to resolve all disputes relating to the interpretation, applicability, enforceability, or formation of this Arbitration Agreement, including the arbitrability of any claim.
- Individual Proceedings Only (Class Action Waiver)
You and HBSS expressly waive any right to bring, participate in, or receive relief from any form of class, collective, consolidated, or representative proceeding. The arbitration shall be conducted solely on an individual basis, and not in a class, consolidated, or representative action. The arbitrator shall have no authority to consolidate the claims of more than one person or to otherwise preside over any form of a representative or class proceeding.
If this class action waiver is found to be unenforceable with respect to any particular claim, then that specific claim shall be severed from the arbitration and may proceed in court. In such event, the remainder of the arbitration agreement shall remain in full force and effect.
- Limited Court Actions
Notwithstanding anything to the contrary in this Arbitration Agreement, either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction in Delaware to prevent actual or threatened infringement, misappropriation, or violation of a party’s intellectual property rights or confidential information. Additionally, either party may bring an individual claim in small courts if such claim is within the court’s jurisdiction and is pursued on an individual basis. - Costs and Fees
Unless otherwise agreed in writing, each party shall bear its own attorneys’ fees and costs arising out of or relating to the arbitration. The parties shall share equally the administrative fees of arbitration, including the arbitrator’s fees, unless the arbitrator determines that a different allocation is appropriate under the circumstances. - Judgment on Award
The arbitrator’s decision shall be final and binding, and judgment on the arbitration award may be entered in any court having jurisdiction thereof.
